1. Acceptance of Terms

By accessing or using the MedStrato platform, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you are entering into these terms on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these terms.

If you do not agree with any provision of these terms, you must not access or use the platform. These terms constitute a legally binding agreement between you (or your organisation) and MedStrato Limited, a company registered in Ireland.

We reserve the right to modify these terms at any time. Material changes will be communicated at least thirty (30) days in advance via email or platform notification. Continued use of the service after such notice constitutes acceptance of the modified terms.

2. Service Description

MedStrato provides a software-as-a-service platform for medical device procurement, including automated tender matching, compliance verification, and regulatory documentation management. The platform processes tender specifications against medical device databases to generate match recommendations and compliance assessments.

The platform is designed to assist procurement professionals in evaluating medical device options and is not a substitute for independent clinical, regulatory, or procurement judgment. All match results and compliance assessments should be independently verified by qualified personnel before making procurement decisions.

MedStrato maintains the platform in accordance with ISO 13485 quality management standards and SOC 2 Type II security controls. We target 99.9% uptime availability, measured monthly, excluding scheduled maintenance windows communicated in advance.

3. Account Registration

To access the platform, you must register for an account using a valid business email address and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Each account is intended for use by a single individual. Organisation accounts may include multiple authorised users as specified in your subscription agreement. You must notify us immediately of any unauthorised use of your account or any other breach of security.

We reserve the right to suspend or terminate accounts that violate these terms, contain false registration information, or have been inactive for a period exceeding twelve (12) consecutive months.

4. Acceptable Use

You agree to use the platform solely for lawful medical device procurement purposes. You shall not attempt to reverse engineer, decompile, or disassemble any portion of the platform, nor shall you use automated tools to scrape, harvest, or extract data from the service.

You shall not upload, transmit, or store any content that is unlawful, defamatory, or infringes on the intellectual property rights of any third party. You are solely responsible for the legality, accuracy, and completeness of all tender documents and specifications you upload to the platform.

Any use of the platform that intentionally disrupts service availability, compromises security controls, or attempts to access data belonging to other users constitutes a material breach of these terms and may result in immediate termination and legal action.

5. Intellectual Property

The MedStrato platform, including all software, algorithms, user interfaces, documentation, and trademarks, is the exclusive property of MedStrato Limited and is protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable licence to access and use the platform for its intended purpose.

You retain all ownership rights in the data, documents, and specifications you upload to the platform. By uploading content, you grant MedStrato a limited licence to process that content solely for the purpose of delivering the services described in your subscription agreement.

Feedback, suggestions, or improvement ideas that you voluntarily provide regarding the platform may be used by MedStrato without restriction or obligation to you. No intellectual property rights are transferred by the provision of such feedback.

6. Data Processing

MedStrato processes all data in accordance with the General Data Protection Regulation (GDPR) and applicable data protection legislation. A Data Processing Agreement (DPA) is incorporated by reference into these terms and is available for execution upon request.

All procurement data is encrypted using AES-256 at rest and TLS 1.3 in transit. Data is processed within SOC 2 Type II certified infrastructure located in the European Union. Our data processing practices are audited annually by independent third-party auditors.

Where your use of the platform involves the processing of personal data, you acknowledge that you are the data controller and MedStrato acts as a data processor. You are responsible for ensuring that you have a lawful basis for processing any personal data uploaded to the platform.

7. Confidentiality

Each party agrees to maintain the confidentiality of all non-public information received from the other party in connection with the use of the platform. Confidential information includes, without limitation, tender documents, pricing data, procurement specifications, product roadmaps, and technical documentation.

MedStrato shall not disclose your procurement data, tender specifications, or compliance information to any third party except as required to deliver the contracted services or as compelled by law. All MedStrato personnel with access to client data are bound by written confidentiality obligations.

Confidentiality obligations survive the termination of these terms for a period of five (5) years, except for trade secrets which shall remain confidential indefinitely.

8. Limitation of Liability

To the maximum extent permitted by applicable law, MedStrato's total aggregate liability for all claims arising under or in connection with these terms shall not exceed the total fees paid by you in the twelve (12) months immediately preceding the event giving rise to the claim.

In no event shall MedStrato be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, regardless of the theory of liability and even if advised of the possibility of such damages.

The platform provides procurement matching and compliance verification tools as decision-support aids. MedStrato does not guarantee the accuracy, completeness, or regulatory compliance of any match result or assessment. All procurement decisions remain the sole responsibility of the user.

9. Indemnification

You agree to indemnify, defend, and hold harmless MedStrato and its directors, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your breach of these terms, your misuse of the platform, or your violation of any applicable law or regulation.

MedStrato agrees to indemnify you against third-party claims alleging that the platform, as provided by MedStrato and used in accordance with these terms, infringes any valid intellectual property right of a third party.

10. Termination

Either party may terminate these terms by providing thirty (30) days written notice to the other party. MedStrato may terminate or suspend your access immediately if you materially breach these terms and fail to remedy the breach within fourteen (14) days of written notice.

Upon termination, your right to access the platform ceases immediately. MedStrato will make your data available for export for a period of thirty (30) days following termination, after which all data will be permanently and irreversibly deleted from our systems, including backups.

Provisions that by their nature should survive termination, including confidentiality, limitation of liability, indemnification, and governing law, shall remain in full force and effect.

11. Governing Law

These terms shall be governed by and construed in accordance with the laws of Ireland, without regard to its conflict of law provisions. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of Ireland.

Before initiating any legal proceedings, the parties agree to attempt to resolve disputes through good-faith negotiation for a period of not less than thirty (30) days. If negotiation fails, the parties agree to submit the dispute to mediation before pursuing litigation.
