What is different about Singapore contract paper?
- Drafting is English-language first. The grammar is common-law: defined terms, conditions precedent, entire-agreement clauses. A translated civil-code layout is the wrong starting shape.
- Privacy paper follows the Personal Data Protection Act plus PDPC guidance and model clauses — a different statute and regulator story from Thai PDPA B.E. numbering.
- The cluster leans SaaS subscription, DPA, EULA, and investment instruments (SAFE, convertible, shareholders’) rather than OEM lines and mould ownership.
- SIAC is a regional default seat even when the shop floor sits somewhere else. Many group forms already name SIAC and Singapore as seat. Recording that preference is not choosing a forum as counsel.
- Employment Act coverage versus PME — professionals, managers, and executives — is a Singapore-only split. SAFE and convertibles, when they appear, are usually issued by a Singapore holding company, not a destination operating company.
