What is different about United States state-law SaaS and employment paper?
- Pick a state before you pick a clause. Delaware entity paper, New York governing-law clauses, and California employment overlays are different facts. Record which state’s law the client already printed on the form.
- SaaS subscription, EULA, and MSA are the commercial default. Order forms and click-wrap sit in the same cluster. A bilingual filing draft is the wrong shape.
- At-will employment, with state exceptions (California and others), is the labour grammar. Offer letters, invention assignment, and at-will acknowledgements are the usual stack.
- Outbound DPA plus SCCs appear when EU or UK personal data sits in a United States system. CCPA/CPRA attaches for California-adjacent businesses.
- The startup stack is SAFE, convertible, and NVCA-style shareholders’ paper, issued by a Delaware corporation more often than by a destination operating company. Federal sanctions and export-control addenda matter when goods or software originate in the United States and land in ASEAN.
