What makes Thailand contract review different?
- Private-law drafting sits on the Civil and Commercial Code. A holding-company common-law template is a starting file, not the governing grammar.
- Bilingual Thai/English drafts are the working habit. When a filing, a bank, or a labour counterparty is in the room, the Thai text often controls. Record which language is the working draft and which is the filing draft.
- The Foreign Business Act can sit behind a simple-looking distribution appointment. Whether the counterparty is a majority-Thai company is a fact question, not an FBA opinion.
